Legal Counsel (80-100%)

Your area of responsibility
Energy Infrastructure Partners AG (“EIP”) seeks a Swiss qualified legal counsel to help EIP to comply with all applicable regulations and legal requirements and support the General Counsel to further develop the legal department and strengthen respective legal standards within the company. 
The legal counsel shall provide legal advice and support on a wide range of activities, services and products managed by the company as portfolio manager. The successful candidate will have a strong focus on Swiss financial market laws (e.g. FINSA, FINIA, CISA, AMLA, BVVS, etc.) and corresponding EU regulations (e.g. AIFMD, MIFID II, etc.) as well as Swiss corporate law, governance and contract law. Ideally the candidate has proven experience within the asset management industry, ideally in the illiquid sector. 

Key tasks: 
  • Draft, review, and revise all kind of agreements (e.g. service agreements, advisory agreements, placement agent agreements, rebate agreements, and other legal binding documents, relevant for EIP);  
  • Revise any kind of corporate documents for EIP and its affiliates (e.g. Articles of Association, organisational regulation, AGM documents) and act as legal specialist for corporate law and governance inquiries vis-à-vis the Governance and Company Secretary office;
  • Liaise with the Data Protection Officer on any kind of requests in connection with data privacy; 
  • Assist in any kind of financial market law related inquiries, including cross border clarifications in the company`s target countries with external local law firms; 
  • Work closely with Data Analytics team and IT to assist the company on digitization projects from a legal perspective (e.g. AI supported tools); 
  • Provide training and guidance to other team members on legal matters or regulatory developments relevant for EIP and its affiliates; 
  • Handle ad-hoc legal requests from all departments within EIP AG and its affiliates; and 
  • Stay updated about changes in Swiss and EU regulatory relevant for EIP AG and its affiliated, license, managed products and services.


Your skills and experience
  • Swiss Master’s degree in Law or equivalent, bar exam is a plus 
  • Minimum of 6 years of experience as an in-house legal counsel or lawyer in a law firm, preferably in the financial sector, ideally within asset management 
  • Strong knowledge of Swiss financial market laws (e.g. FINIA, FINSA, CISA, BVV2, AMLA, FINMA circulars, etc.), EU regulation (e.g. AIFMD, MIFID II, etc.), Swiss corporate law, governance and contract law, data protection laws 
  • Knowledge in private equity, collective investment schemes and affinity to capital markets law 
  • Excellent analytical, negotiation and communication skills 
  • Ability to work independently, under pressure, and have excellent prioritizing skills 
  • Client focused, solution-oriented, organized, structured and precise working style
  • Excellent oral and written communication skills in English and German, and any other language is a plus 
  • Secure judgment and analysis abilities 
  • Eagerness and willingness to learn and adapt to new challenges
